Terms and Conditions
Last updated: September 12, 2026
These terms apply to any person or business ("the Client") who hires Vempo Digital's ("Vempo", "we") services. By hiring a plan or signing a proposal, you accept these terms.
1. Service description
Vempo Digital manages Meta Ads (Facebook and Instagram) advertising campaigns and, as an additional service, designs and builds websites. We do not produce or edit photography or video: the Client provides their own content and we implement it within the campaigns.
2. Client-supplied content
The Client represents that they own or have the necessary rights to any photo, video, logo, or text they give us to use in their campaigns or website. Vempo Digital is not responsible for copyright or trademark infringement arising from content supplied by the Client.
3. Campaign results
Digital advertising depends on factors outside our control (market conditions, competition, changes to Meta's platforms, the Client's own product or service quality, among others). Vempo Digital does not guarantee a specific number of customers, sales, leads, or return on investment. Our commitment is to apply sound targeting, optimization practices, and transparent reporting of the account's actual results.
4. Ad spend vs. management fees
Money invested directly in ads is paid to Meta and is separate from Vempo Digital's management fees. Fees are calculated according to the plan hired (flat rate or percentage of spend, whichever is greater, as shown on the pricing page in effect at the time of hiring).
5. Payments and cancellation
Management fees are billed monthly. The Client may cancel at any time, giving at least 15 days' notice before the next billing cycle. There are no forced contracts or cancellation penalties.
6. Ownership of materials created by Vempo
Landing pages, websites, and campaign creatives designed by Vempo Digital are transferred to the Client's ownership once the corresponding payment is completed. Before that payment, such materials remain the property of Vempo Digital.
7. Confidentiality
Both parties agree to keep confidential any business information shared during the relationship (e.g., campaign performance data, strategy, or financial information), and not to disclose it to third parties without authorization.
8. Limitation of liability
Vempo Digital is not liable for indirect damages, lost profits, or business interruption arising from the use of our services, except in cases of proven gross negligence or willful misconduct.
9. Changes to these terms
We may update these terms from time to time. Any changes will be published on this same page with the corresponding update date.
10. Governing law
These terms are governed by the laws of the United Mexican States. Any dispute will be submitted to the competent courts of Mexicali, Baja California.
